Welcome to Smart Grant Scout. These Terms of Service ("Terms") govern your use of the Smart Grant Scout website and services operated by RAVENCORD OÜ ("we," "our," or "us").

1. Description of Service

Smart Grant Scout is a platform that provides:

• A searchable database of U.S. government grants and incentive programs
• Tools to help businesses find and track grant opportunities
• AI-powered matching and eligibility assessment
• Document checklists and application assistance

2. Account Registration

To access certain features, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms.

3. Subscription Plans and Payment

Free Plan: Basic access to the grant database with limited features.

Paid Plans: Enhanced features including AI tools, unlimited saves, and priority support.

For paid subscriptions:

• Payments are processed securely through Stripe
• Monthly subscriptions renew automatically each month
• Annual subscriptions renew automatically each year
• You may cancel at any time; access continues until the end of the billing period
• Refunds are handled on a case-by-case basis; annual plans are generally non-refundable
• We may change pricing with 30 days notice to existing subscribers

4. Acceptable Use

You agree NOT to:

• Use the service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the service
• Interfere with or disrupt the service or servers
• Scrape, crawl, or use automated means to access the service without permission
• Reproduce, duplicate, copy, sell, or resell any part of the service
• Impersonate any person or entity
• Upload malicious code or content
• Harass, abuse, or harm another person
• Use the service to submit fraudulent grant applications

5. Intellectual Property

The service and its original content, features, and functionality are owned by RAVENCORD OÜ and are protected by international copyright, trademark, and other intellectual property laws.

Our trademarks and trade dress may not be used without our prior written permission.

Grant program information is sourced from publicly available government data and remains the property of the respective government agencies.

6. User Content

You retain ownership of any content you submit (company profiles, notes, etc.). By submitting content, you grant us a license to use, store, and display that content as necessary to provide the service.

You represent that you have the right to submit such content and that it does not violate any third-party rights.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that:

• The service will be uninterrupted, timely, secure, or error-free
• The results obtained from the service will be accurate or reliable
• Any errors in the service will be corrected
• You will receive any particular grant or funding

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAVENCORD OÜ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

• Loss of profits, data, or business opportunities
• Failed grant applications or missed deadlines
• Errors or inaccuracies in grant information
• Unauthorized access to or alteration of your data

Our total liability shall not exceed the amount you paid us in the 12 months prior to the claim.

9. Indemnification

You agree to indemnify and hold harmless RAVENCORD OÜ and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit to the service

10. Third-Party Links

Our service may contain links to third-party websites (including government agency sites). We are not responsible for the content or practices of these sites. We encourage you to review their terms and privacy policies.

11. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination:

• Your right to use the service will immediately cease
• We may delete your account and data
• Provisions that should survive termination will remain in effect

12. Governing Law

These Terms shall be governed by the laws of the Republic of Estonia, without regard to conflict of law provisions.

For users in the United States, any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.
